DocuLiq — Terms of Use

Version 1

1. Who you contract with

These terms are a contract between you and KIRIMLI TEKNOLOJİ LİMİTED ŞİRKETİ (MERSIS no. 0557141053500001), Yakuplu Mah. Hürriyet Bul. Skyport Residence NO: 1 Kat: 10 İç Kapı NO: 113 BEYLİKDÜZÜ / İSTANBUL, Türkiye ("we"). Contact: support@doculiq.com · phone: +90 555 311 26 61. The email address is also our contact point for authorities; you can write to us in Turkish or English.

You enter into this contract by accepting these terms in the app, on the first screen it shows after you sign in (section 2). Our Privacy Notice explains how we process your data and our AI Notice explains the AI features; they are separate documents, provided for your information, and you are not asked to accept them. The explicit consent for special-category data is also separate, optional and can be withdrawn (section 4). The permission to send your document content to Google Cloud AI services, which you give on that first screen together with your acceptance, is not such a consent: it is part of this contract (section 2).

2. What DocuLiq is

DocuLiq is a document management app. It stores your documents, extracts their text, finds dates in them automatically, uses artificial intelligence to summarise them, review them for risks, extract information from them, answer your questions and translate your documents; transcribes audio recordings on paid plans; and lets you set reminders, tasks and notes. In a team workspace, members share documents.

DocuLiq's features are built on artificial intelligence. To provide them, your document content (file text, page images and audio recordings, including any personal data in them) and your questions are sent to Google Cloud AI services (Gemini on Vertex AI, Cloud Vision and Speech-to-Text) at their European Union endpoints, as the Privacy Notice explains.

The first screen the app shows after you sign in tells you this, and one button on it does three things together: you allow this sending, you accept these terms and you declare your age (section 3). This permission is part of the service under these terms; it is not an explicit consent. The Privacy Notice and the AI Notice are linked on that screen for your information; you are not asked to accept them. Above the button, the same screen has a separate switch for the optional explicit consent for special-category data (section 4): it is off unless you have turned it on, and the button works the same either way. Until you tap the button the app does not open and sends nothing to these services; from that screen you can then only sign out or delete your account (section 3).

The screen is shown once for your account on each device, and the device remembers the permission, also after you sign out. It is shown again when a new version of these terms takes effect (section 9), when we add an AI service or a recipient or start sending a new kind of data to them, and when you take the permission back. You can take it back at any time in Profile > Legal: from that moment the app starts no text recognition, transcription or AI request from that device, and it stays closed there until you allow it again. A request that had already been sent may still finish.

DocuLiq reviews documents automatically and lists findings for you to check. The risk review also produces suggested follow-up tasks and suggestions for the parties named in the document; these are general, non-binding points to check, not a legal opinion. DocuLiq is not legal, financial or medical advice and does not replace a full reading of the document. AI results can be incomplete or wrong.

Dates are found in your documents automatically; a date can be missed or read wrongly, so check the reminders created from a document. Reminders appear in the app and, in the iOS, Android, macOS and Windows apps, are scheduled as notifications on your device; the web version does not show device notifications. On paid plans reminders can also be sent by email. If the device is off, notifications are not allowed, or the operating system delays notifications, a notification may arrive late or not appear, and an email can be delayed or not delivered. DocuLiq's reminders are an aid; they do not replace an official or legal record of your deadlines.

3. Your account

DocuLiq is for adults. To use it you must be at least 18 years old, or the age of majority where you live if that is higher, and legally able to enter into a contract; by accepting these terms you confirm that you are. We rely on your statement: we do not ask for your date of birth or for an identity document. If we learn that an account belongs to someone under that age, we may close it (section 8). If you accept these terms on behalf of a company or other organisation, you confirm that you are authorised to bind it.

You need an account and a verified email address to use DocuLiq. Keep your sign-in details to yourself; you are responsible for activity in your account.

You can delete your account at any time: in the app (in Profile, or on the first screen described in section 2), or by writing to support@doculiq.com from your account's verified email address. In every case you confirm the deletion through a link we email you, and nothing is deleted until you open it. Deleting your account also deletes the team workspaces you own, including the documents other members added to them, and ends any file-right packs you have not used. To keep a team workspace, transfer its ownership to another member first: the member must accept the transfer within 7 days, otherwise it lapses, and the member can also decline it; once accepted, the workspace runs on, and is charged to, that member's plan. Deleting your account does not cancel a subscription bought through the App Store or Google Play; cancel it in that store's account settings. A subscription bought on our website, however, is ended when your account is deleted, and the fee for the remaining part of the period you have paid for is refunded, measured as in section 5; if you are within the first 14 days of your purchase and still have your right of withdrawal, use it first (section 5).

DocuLiq is not intended for use where sanctions or export-control law that applies to us or to our service providers forbids it. You may not use DocuLiq from such a place, or if such law forbids us from serving you.

4. Your content and your obligations

You keep all rights to the documents you upload. You give us the right to store and process them only to provide DocuLiq to you and, in a team workspace, to its members.

You confirm that you are entitled to upload and process the documents you add. If a document contains personal data of other people, you confirm that you have a lawful basis to upload it and to have it processed with DocuLiq, including for any special categories of personal data in it (for example because you act as their lawyer or accountant, because they have given their explicit consent through you, or because you are their legal representative), and you are responsible for informing them where the law requires it. For an audio recording, you confirm that you have obtained any consent the law requires from every person whose voice is in it.

Some documents contain special categories of personal data, such as health or criminal-record information; the Explicit Consent text lists them all. You are not required to upload such documents. Upload documents that contain such data about you only if you have given the separate explicit consent: you give it with its own switch, on the first screen after you sign in or in Profile > Legal, and you can withdraw it at any time in Profile > Legal. The switch is not a consent given on behalf of other people. If you use DocuLiq privately and such data is about another person, upload the document only if that person has given their explicit consent to this processing through you, or if you are their legal representative; by turning the switch on you declare that this is the case, and without it you must not upload such documents. If you act in a professional or commercial capacity, turn the switch on only if you have the lawful basis described above; by turning it on you instruct us to process that data on your behalf under these terms, and section 11 applies. In a team workspace, the switch of the member who uploaded the document counts. Where there is no explicit consent — while the switch is off, after the consent is withdrawn, or after the uploader's account is deleted — a document recognised as a health or criminal-record document may not be kept: we email the person who uploaded it and the workspace owner and admins, the app shows the deletion date, and 7 days after that notice, in the daily clean-up that follows, the document is permanently deleted (Privacy Notice, section 5).

In a team workspace, the documents you add are visible to every member of that workspace, and the workspace owner can see each member's usage. The documents you add stay with that workspace when you leave it or delete your account; when you delete your account, those of them recognised as health or criminal-record documents are deleted after the period described above. Only the workspace owner or an admin can remove them, and only the owner can delete them permanently; if you want one removed, ask the owner.

Do not use DocuLiq for clinical purposes (to diagnose, or to decide on treatment or patient care) or in place of the advice of a doctor or other health professional. Keeping and tracking your own records is fine. Do not use DocuLiq's results as the only basis for a decision about a person's employment, credit, insurance or legal proceedings.

You must not use DocuLiq for unlawful content, to infringe the rights of others, or to overload, probe or circumvent the service's protections. We do not screen uploads for unlawful content in advance. Anyone can report content they consider unlawful to support@doculiq.com, saying where it is and why. We assess each report and may require the content to be deleted, suspend the account or close it (section 8); when we do, we tell the account holder why and how to object. We may disclose data to authorities where the law obliges us to.

5. Plans, payments and cancellation

DocuLiq has a free plan and paid plans. What each plan includes (file rights, storage, Bin period, features) and how file rights are counted (one right for every started 10 pages of a document, up to 10 rights; long scanned documents, audio and translation jobs use extra rights) is shown in the app before you buy. Analysing a document again uses file rights by its size (number of pages or length of its text); how many is shown before you confirm. File rights of a billing period expire at the end of that period.

A paid plan is a subscription with no fixed end date. You pay in advance for each billing period (currently one month; the purchase screen shows the period and the price), and the subscription renews for the next period until you cancel it. You can cancel at any time: a subscription bought on our website in the app (Profile > Subscriptions) or by writing to support@doculiq.com, and a subscription bought in the App Store or Google Play in that store's account settings. Cancelling takes effect at the end of the period you have paid for, and you keep the plan until then; for a subscription bought on our website we confirm the cancellation to you by email. You can also end a subscription bought on our website without waiting for the end of the period you have paid for: in the app (Profile > Subscriptions > “End subscription now”) it ends immediately, and if you write to support@doculiq.com it is ended within 7 days; the fee for the remaining part of the period you have paid for is refunded within the following 15 days. The fee for a billing period pays for that period's time and for its file rights; the remaining part is the share of the time left in the period and cannot exceed the share of the file rights this plan gave you that you have not used (for example, halfway through a period in which you have used three quarters of the file rights, a quarter of the fee is refunded). The app shows the refund rate before you confirm; we confirm the ending to you by email. If a subscription ends before its period is over (withdrawal, immediate ending or a refund of the payment), the remaining file rights of that period end at the same moment. The price and any taxes that apply are shown before you buy. If the price of your subscription changes, you are told in advance: for a subscription bought on our website, we write the new price to your account's email address at least 30 days before the first renewal it applies to, and you can cancel the subscription before that date; for a subscription bought in a store, as that store's rules require.

The seller of a purchase made on our website is Paddle, our authorised reseller (Paddle.com Market Limited, United Kingdom): Paddle takes the payment, calculates the tax and issues the invoice, and Paddle's own buyer terms are also shown on the checkout. We provide the service; you can exercise the cancellation, withdrawal and refund rights in these terms against us, and we start refunds through Paddle. A purchase on our website can only be started from the purchase screen in the app: a purchase that was not started there, or that opens a second subscription next to one whose paid period is still running, is not set up and its payment is refunded in full. If the payment for your current period is refunded to you in full, or you take that payment back through your bank (a chargeback), the subscription ends immediately; if you take back the payment for an earlier period through your bank, the subscription ends at the end of the period you have paid for. The remaining rights of a pack bought with a payment that was refunded in full or taken back are removed from your account. If you take a payment back through your bank, new purchases on our website are closed for this account until the dispute is settled. We may also close new purchases on our website for an account on which subscriptions are repeatedly bought and then withdrawn from or refunded; that decision does not affect a running subscription or the rights the law gives you. In both cases you can write to support@doculiq.com.

Document chat does not use file rights. Instead, every plan has a daily chat budget, and a fair-use limit on AI work that does not use a file right (such as chat, or producing a summary or risk review again); how large they are depends on your plan. When the day's chat budget is used up, chat stops until the next day. The fair-use allowance builds up day by day during the billing period; when it is used up, such work is refused until enough allowance has built up again. Work paid for with a file right is never refused for this reason. Each plan also has a download allowance per billing period (shown on the Pricing page): document downloads and export archives count toward it, and in a team workspace they count toward the workspace owner's allowance. In a team workspace a quarter of the allowance is reserved for the workspace owner; the other members share the rest, and a single member cannot use more than half of that shared part. When the allowance, or a member's own part, is used up, downloads stop until the period renews. On plans that include export, one export per workspace per period still goes through even if it does not fit the allowance; requesting a copy of your account data does not count toward it. The app tells you when a limit is reached.

File-right packs are added to your account when you buy them. Their rights are used only after the plan's file rights for the current period are used up, oldest purchase first. Packs do not expire while your account is open and we offer the service; they end when you delete your account. If we end the service, section 6 applies (we tell you at least 30 days in advance, unless a security risk or the law requires us to act sooner), and the rights the law gives you for unused packs are preserved.

If you are a consumer, the withdrawal and refund rights the law gives you are preserved, for subscriptions and for packs. For a purchase made on our website we recognise the right of withdrawal on the conditions set out in the next paragraph: because the service starts immediately on payment, the right of withdrawal ends once you start using the paid file rights (Turkish Regulation on Distance Contracts, Article 15); the purchase screen tells you this before you pay and asks for your consent. For a purchase made in the App Store or Google Play, ask the store first, in your store account and under the store's terms; if that does not settle it, write to support@doculiq.com.

If you buy a subscription on our website, you may withdraw from the purchase within 14 days of buying it without giving a reason, provided you have not started using the plan: it is enough to use the “Withdraw from contract here” option in the app under Profile > Subscriptions, or to write to support@doculiq.com, within that period. When you withdraw, your payment is refunded in full to the payment method you used and your subscription ends immediately; the content you produced stays in your account, and your account falls to the Free limits as described below. The plan starts immediately on payment; once you start using the plan — that is, once you use the first of this plan's file rights after the purchase, or run an AI task that does not use a file right (such as document chat) while the plan is running — performance of the service has begun with your consent and the right of withdrawal ends. In a team plan, use by the members is also use of the plan. What you used under a previous plan (for example under Pro before you moved to Team) or under the Free plan does not count as use of the new plan: a new rights period starts with every new subscription; when the subscription ends, your rights period returns to the schedule it had before the subscription, and the rights you had already used in that period remain used. Every subscription carries its own right of withdrawal: having withdrawn from one subscription does not remove your right of withdrawal for a subscription you buy afterwards. When the right of withdrawal has ended, you can still cancel the subscription or end it immediately as described above. We confirm your withdrawal to you by email. We start the refund through Paddle and Paddle completes it; if the refund has not reached you within 14 days of your notice, write to support@doculiq.com and we will refund the amount ourselves. The purchase screen tells you about your right of withdrawal and its condition before you pay; the same information is also sent to your account's email address before the payment screen opens. You may also withdraw from a file-right pack bought on our website within the same period by writing to support@doculiq.com, provided you have used none of the pack's rights: the price of the pack is refunded in full and the pack is removed from your account. Once you start using the pack's rights, the right of withdrawal ends for that pack.

A subscription bought through the App Store or Google Play is valid on only one DocuLiq account at a time: the account it was first applied to. Restoring it on another DocuLiq account does not move it there while that first account exists; use the account you bought it with, or contact us. If you delete that account, the subscription can be restored on a new account.

If a paid subscription ends and is not renewed, at the end of the paid period a personal workspace falls to the Free limits and keeps working within them; in a team workspace only the owner keeps access, and no new uploads or AI features run. A team workspace, and a personal workspace that stores more than the Free storage limit, then enter a 60-day retention window in which you can export your files. After these 60 days, such a team workspace is deleted with all its documents, and all documents in such a personal workspace are deleted; this is permanent. We email the workspace owner and admins before anything is deleted, but an email can fail to arrive: the app also shows the date on which the content will be deleted.

On the Free plan, if you do not sign in to your account for 180 days, we warn you by email; 30 days after the first warning, at the next daily cleanup, all documents in your personal workspace are permanently deleted, together with the reminders, tasks, notes and lists kept there. Signing in during that time stops the deletion. Your account is not deleted. In both cases, section 7 of the Privacy Notice sets out what is deleted, which records remain and for how long, and how long backups keep deleted data.

6. Availability and changes to the service

We work to keep DocuLiq available and secure, but the service may be interrupted for maintenance or reasons outside our control. We may change or remove features for these reasons: security, a legal duty, a change of infrastructure or provider, preventing abuse, or improving the product. If a change materially reduces a service you pay for, we tell you at least 30 days in advance, in the app or by email, unless a security risk or the law requires us to act sooner. You may then cancel, and the rights the law gives you for the period you have already paid for are preserved.

7. Liability

We are liable as required by law. Nothing in these terms limits liability that cannot be limited under the law that applies to you, including consumer protection law.

If you are not a consumer, our total liability to you under these terms is limited to the fees paid for your DocuLiq plan and packs in the 12 months before the event that caused the damage. This limit does not apply to damage we cause intentionally or through gross negligence.

8. Ending the contract

You can end this contract at any time by deleting your account; a subscription bought in a store must still be cancelled in that store, while a subscription bought on our website is ended when your account is deleted and the fee for its remaining part is refunded (section 3). You can export your documents and the content derived from them free of charge in the app (Profile > Legal > Get a copy of my data). While the first screen is shown (section 2), the app is closed: you can sign out or delete your account from that screen. For a copy of your data in that case, write to support@doculiq.com from your account's verified email address; we provide it to that address within 30 days.

We may suspend or close an account that seriously breaches these terms. Unless the law or security requires otherwise, we tell you first, with our reasons, and give you the chance to export your data. You can object by writing to support@doculiq.com; we then review the decision. If we close your account, we cancel a subscription bought on our website and refund the fee for the remaining part of the period you have paid for, measured as in section 5; a subscription bought in a store must still be cancelled in that store.

9. Changes to these terms

When these terms change, we publish a new version and ask you to accept it in the app before you continue. If you do not accept the new version, you can sign out or delete your account from that screen (section 2), and cancel your subscription (section 5); the rights the law gives you for the period you have already paid for are preserved. We keep a record of which version you accepted and when.

10. Governing law and disputes

These terms are governed by the laws of the Republic of Türkiye. If you are a consumer, you also keep the protection of the mandatory laws of your country of residence.

Please send a complaint to support@doculiq.com first. If you are a consumer in Türkiye, you may apply to the consumer arbitration committee or the consumer court at your place of residence. If you are a consumer in another country, you may also apply to the consumer bodies and courts of that country.

These terms exist in Turkish and English. The app shows the Turkish text when its language is Turkish and the English text in every other language. The text shown to you and accepted in the app is the one that binds you; our record of your acceptance stores its version and language.

We may transfer this contract to a company that takes over DocuLiq. Such a transfer changes who you contract with (section 1), so section 9 applies: the app asks you to accept the new version of these terms before you continue, and if you do not agree you can end the contract (section 8).

Neither you nor we are liable for a failure caused by an event beyond reasonable control, such as a natural disaster, a war, or an outage at a network or infrastructure provider, for as long as the event lasts.

11. Other people's data: processing on your behalf

This section applies when you use DocuLiq in a professional or commercial capacity and the documents you upload contain personal data of other people, such as your clients, customers or employees. It applies in every workspace, personal or team. For that data you are the controller and we act as your processor. In a team workspace the controller is the workspace owner, who decides which documents are kept there and who can see them; members upload on the owner's behalf. This section is our agreement with the controller ("you" below) about that processing:
